BUSINESS BUCKETS

Partner Agreement

Version dated October 2, 2026, Revision 2

This Partner Agreement (the "Agreement") is between Mathematic Management LLC, a Wyoming limited liability company doing business as Business Buckets, 209 E Baseline Rd #E208, Tempe, AZ 85283 (the "Company"), and the individual who accepts it (the "Partner"). The Partner accepts this Agreement by checking the agreement box on the Business Buckets Partner Signup form and submitting the form. That acceptance is the Partner's electronic signature, and the Company's records of the submission are the record of acceptance.

1. Purpose

The Partner introduces business owners to Business Buckets and may refer other individuals to become partners. The Company sells, builds, and services every Business Buckets product. The Partner earns commission on payments the Company collects from clients the Partner refers, and from clients referred by partners the Partner recruits, under the terms below.

2. Relationship

The Partner is an independent contractor. Nothing in this Agreement makes the Partner an employee, agent, joint venturer, or legal representative of the Company. The Partner has no authority to make promises, sign agreements, quote any price other than a price published on the Business Buckets site, or accept payment on the Company's behalf. This Agreement is not exclusive. Either party may work with others.

3. Referred Client

A "Referred Client" is a business that (a) first reaches the Business Buckets site through the Partner's assigned affiliate link, (b) completes a purchase within 365 days of that click, and (c) was not already a Company client or active prospect in the Company's records before that click. The Company's affiliate tracking system is the record of attribution. If two partners claim the same client, the tracking record controls.

4. Commission

20 percent of each payment the Company actually collects from a Referred Client, including the setup fee, for the setup payment and the first six monthly payments. Seven payments in total per Referred Client.

Commission is calculated on the amount collected, excluding sales tax, processing reversals, and refunds. No commission is earned on a payment that fails, is refunded, or is reversed by chargeback. If a commission has already been paid on a payment that is later refunded or reversed, the Company may deduct that amount from the Partner's next payout.

5. Payment

Commissions earned in a calendar month are paid by the 15th day of the following month, through the payout method the Partner sets in the partner dashboard. Before the first payout, the Partner must provide a completed IRS Form W 9. The Partner is responsible for all taxes on commissions. The Company will issue a Form 1099 when required.

6. Recruiter Commission

A "Recruited Partner" is an individual who joins the program through the Partner's sub affiliate sign up link, as recorded by the Company's affiliate tracking system.

10 percent of each payment the Company actually collects from a client referred by a Recruited Partner, for the same seven payments that earn that Recruited Partner commission under Section 4.

The recruiter commission is paid by the Company from its own share and does not reduce the commission of the Recruited Partner. It is calculated and adjusted the same way as commission under Section 4. No commission of any kind is paid for recruiting itself, for a Recruited Partner joining, or on any fee paid by a partner. The recruiter commission applies to one level only. The Partner earns nothing on clients referred by partners that a Recruited Partner recruits.

7. Partner Conduct

The Partner will:

  1. Introduce business owners and share the Partner's own affiliate link.
  2. Share only the prices published on the Business Buckets site, and send prospects to the Business Buckets checkout through the Partner's own link.
  3. Refer prospects to the Company for any question about custom scope, custom pricing, or results.
  4. Identify themselves as an independent partner, not as an employee or representative of the Company.
  5. When recruiting, describe the program accurately and direct the recruit to this Agreement before they join.

The Partner will not:

  1. Offer discounts, quote any price other than the published price, promise results, or negotiate terms.
  2. Collect payment, account logins, or confidential client information.
  3. Send unsolicited bulk email or text messages, or place automated calls, using the Business Buckets name, or in violation of the CAN SPAM Act, the Telephone Consumer Protection Act, or similar laws.
  4. Run paid advertising that uses the Business Buckets name or bids on it as a search term without written approval.
  5. Make any false or misleading statement about the Company, its products, or the earnings available in the program, including any claim that a person can earn money by recruiting alone.

8. Brand and Confidentiality

The Partner may use the Business Buckets name and materials the Company provides only to make introductions and recruit partners under this Agreement. Client lists, pricing not published on the site, and the commission reports of any other partner are confidential and may not be shared. This obligation survives termination.

9. Term and Termination

This Agreement begins when the Partner accepts it and continues until either party ends it with 30 days written notice by email. The Company may end it immediately for a breach of Section 7 or 8.

After termination without cause, the Partner continues to earn commission and recruiter commission on clients who purchased before the termination date, through their seven payments. After termination for cause, no further commission of any kind is earned.

10. Changes to the Program

The Company may change prices, products, future commission rates, or this Agreement with 30 days written notice by email. A change does not reduce commission on a client who purchased before the change takes effect. Continuing to participate after the notice period is acceptance of the change.

11. Limitation

The Company's total liability to the Partner under this Agreement is limited to unpaid commissions earned under Sections 4 and 6. Neither party is liable for indirect or consequential damages.

12. Arbitration

Any dispute, claim, or controversy arising out of or relating to this Agreement, including its formation, interpretation, breach, or termination, will be resolved by final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration will be heard by a single arbitrator in Maricopa County, Arizona, or by video conference if both parties agree. Judgment on the award may be entered in any court with jurisdiction.

Each party bears its own attorney fees and splits the arbitrator's fees equally, unless the arbitrator decides otherwise under the applicable rules. Disputes will be resolved only on an individual basis. Neither party may bring or join a class, collective, or representative action. Either party may bring an individual claim in small claims court if it qualifies, or seek a temporary court order to protect confidential information pending arbitration.

13. General

This Agreement is governed by the laws of the State of Arizona and by the Federal Arbitration Act. If any part of this Agreement is found unenforceable, the rest remains in effect. This Agreement is the entire agreement between the parties on this subject. Electronic acceptance is binding.

Accepted electronically by checking the agreement box on the Business Buckets Partner Signup form. The date and time of acceptance are recorded with the submission.
